These Terms of Service (“Terms”) govern your access to and use of the services provided by JAC Electrical Services (UK) Limited (“we,” “us,” “our”). By engaging our services or using our website, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

  • Liability: We provide services with reasonable care and skill but disclaim liability for indirect losses to the fullest extent permitted by law.



About Our Services

We design, install, and maintain electrical systems, commercial catering equipment, solar energy solutions, EV charging infrastructure, and fire & security systems. Our expertise spans sectors including education, healthcare, industrial facilities, and catering businesses.




Definitions

For clarity:

  • SOW: Statement of Work detailing project scope, timelines, fees, and deliverables.
  • Client: The individual or organization engaging our services.



Eligibility & Accounts

You must be at least 18 years old and legally capable of entering into contracts to engage our services. Where accounts or credentials are issued, you are responsible for safeguarding access and for all activity conducted under your account.




Orders, SOWs & Changes

All services are governed by a proposal or Statement of Work (SOW). Any changes to the agreed scope, timeline, or fees must be documented in writing and approved by both parties. Such changes may affect project timelines and associated costs.




Fees, Invoicing & Taxes

  • Invoices are issued per the terms outlined in the SOW. Payment terms are strictly enforced.
  • Late payments may result in paused work and accrue interest at the rate permitted by law.
  • All fees are exclusive of applicable taxes, which are the responsibility of the Client.



Client Responsibilities

The Client is responsible for:

  • Providing accurate and timely information necessary for us to perform our services.
  • Ensuring safe and accessible working conditions at project sites.
  • Complying with all relevant laws, regulations, and permits required for the project.



Acceptable Use

Our services must not be used for any unlawful, harmful, or unethical purposes. Misuse of our services may result in immediate termination of the agreement.




Third-Party Services & Dependencies

We may integrate or recommend third-party products or services (e.g., equipment suppliers, software platforms). These providers are responsible for their offerings and terms. You are responsible for reviewing and accepting their terms and for any associated fees. We are not liable for their actions or omissions.




Intellectual Property

  • We retain ownership of all pre-existing intellectual property, tools, and methodologies.
  • Upon full payment, you receive rights to the deliverables as specified in the SOW.



Confidentiality

Both parties agree to keep each other’s non-public information confidential and use it solely for the purposes of performing under the SOW. Exceptions include information that is publicly available, independently developed, or required to be disclosed by law.




Data Protection & Security

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK GDPR and Data Protection Act 2018. If we act as a data processor, a Data Processing Addendum may apply. You are responsible for ensuring compliance with data protection requirements for your users.




Warranties & Disclaimers

We warrant that our services will be performed with reasonable care and skill. However, we disclaim all other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose, to the fullest extent permitted by law.




Limitation of Liability

  • Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liabilities that cannot be excluded under law.
  • Subject to the above, we are not liable for indirect, consequential, special, exemplary, or punitive damages; loss of profits, revenue, goodwill, or data; and our aggregate liability arising out of or related to the services shall not exceed the total fees paid by you for the specific SOW giving rise to the claim in the 12 months preceding the event.



Indemnity

You agree to indemnify and hold us harmless against any third-party claims arising from materials you provide, your unlawful use of our services, or your breach of these Terms, except to the extent caused by our breach.




Suspension & Termination

We reserve the right to suspend or terminate services if:

  • Payments are overdue.
  • The Client breaches these Terms or the SOW.
  • Unsafe or unreasonable working conditions exist.

Termination does not relieve the Client of obligations to pay for services rendered.




Governing Law & Jurisdiction

These Terms and any disputes or claims (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, though either party may seek injunctive or equitable relief in any jurisdiction.




Changes to These Terms

We may update these Terms to reflect changes in law, technology, or our operations. Updates will be posted on this page with a new effective date. Material changes will be highlighted where appropriate.
